Welcome to Refor Utkal, ("Company", "we", "us", or "our"), registered in Bhubaneswar, Odisha, India. By engaging our services or using this website, you agree to the following Terms and Conditions. Please read them carefully.

1. Acceptance of Terms

By accessing our website, contacting us via WhatsApp, email, or any other channel, or by entering into a service agreement with Refor Utkal, you accept and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, please do not use our services.

2. Services Provided

Refor Utkal provides the following services to businesses primarily located in Odisha, India:

• Social media management (Instagram, Facebook, and related platforms)
• Reel and video content production
• Brand identity design including logos, color palettes and typography
• Digital transformation consulting and setup
• Business advisory and marketing strategy
• Paid advertising management (Meta Ads)

The scope of services for each client is defined in individual service agreements or proposals communicated via WhatsApp or email prior to commencement of work.

3. Payment Terms

Advance Payment: All projects require a minimum 50% advance payment before work commences. The remaining 50% is due upon delivery of the final deliverables, unless otherwise agreed in writing.

Monthly Services: For recurring monthly services (social media management, ID handling), payment is due on or before the 1st of each month. Failure to pay within 5 business days may result in suspension of services.

Payment Methods: We accept UPI, bank transfer , and cash payments.

4. Client Responsibilities

Clients agree to:

• Provide timely access to social media accounts, brand assets, and other required materials
• Review and approve content within 48 hours of submission; delayed approvals may affect delivery timelines
• Ensure that all information, images or content provided to us is accurate and does not infringe on any third-party rights
• Maintain confidentiality of any login credentials shared for the purpose of service delivery
• Not engage any other agency for the same platform services during an active agreement without prior written notice

5. Intellectual Property

Upon receipt of full payment, all original creative work produced by Refor Utkal exclusively for the client (logos, brand kits, custom graphics) becomes the property of the client.

Refor Utkal retains the right to showcase all work in its portfolio, website, social media and marketing materials unless the client requests otherwise in writing before project commencement.

Stock assets, fonts, and third-party elements used in designs remain subject to their respective licenses and are not transferred to the client.

6. Confidentiality

We treat all client business information, strategies and data as strictly confidential. We will not share or disclose any client information to third parties without express written consent, except as required by law.

7. Termination of Services

Either party may terminate a monthly service agreement with 15 days' written notice via WhatsApp or email. Upon termination, Refor Utkal will deliver all completed work to the client. No refund will be provided for the current billing period once services have commenced for that month.

We reserve the right to immediately terminate services if a client engages in abusive, illegal or unethical conduct.

8. Limitation of Liability

Refor Utkal's total liability in any matter arising from the provision of services shall not exceed the total fees paid by the client for the specific project or month in question. We are not liable for indirect, incidental or consequential damages including loss of revenue or business opportunity.

We do not guarantee specific outcomes such as a defined number of followers, leads, or sales, as social media performance depends on many factors outside our control.

9. Governing Law

These Terms are governed by the laws of India. Any dispute arising shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha.

10. Amendments

We reserve the right to update these Terms at any time. Updated terms will be posted on this website with a revised date. Continued use of our services constitutes acceptance of the revised terms.

Refund Policy

At Refor Utkal, we are committed to delivering high-quality services and ensuring client satisfaction. This Refund Policy outlines the conditions under which refunds may be issued.

1. General Policy

Due to the creative and service-based nature of our work, all sales are generally considered final once work has commenced. We strongly encourage clients to review proposals, scope of work and pricing carefully before making any payment.

2. Eligibility for Refund

A full or partial refund may be considered under the following circumstances:

• Service not commenced: If you have paid an advance and we have not yet begun work, a full refund of the advance will be issued within 7 business days upon written request
• Failure to deliver: If Refor Utkal fails to deliver agreed deliverables within the confirmed timeline through no fault of the client, a proportionate refund will be considered
• Duplicate payment: If a payment is made twice in error, the duplicate amount will be refunded in full within 5 business days

3. Non-Refundable Situations

No refund will be issued in the following cases:

• Work has already been delivered, published or partially completed
• The client changes their mind, rebrands or pivots after work has commenced
• Delays caused by the client (e.g. delayed approvals, failure to provide required materials)
• For monthly recurring services, the current month's fee once services have been rendered for that period
• Dissatisfaction with results that falls within the normal variation of creative and social media work (e.g. Reel not going viral, follower growth slower than expected)

4. Revision Policy

Before requesting a refund, clients are encouraged to use the revision rounds included in their service agreement. Most creative work includes atleast 1 free revision rounds. Additional revisions may be available at an extra charge.

5. Refund Process

We will respond within 3 business days. Approved refunds will be processed to the original payment method within 7 business days.

6. Disputes

We are committed to resolving all disputes amicably. If you are dissatisfied, please reach out before escalating. We will make every reasonable effort to find a fair solution. Any unresolved disputes shall be subject to the jurisdiction of the courts in Jagatsinghpur, Odisha, India.
